Notice regarding Merger between Consolidated Subsidiaries in the U.S.

Nihon Kohden hereby announces that Nihon Kohden Digital Health Solutions, LLC (“NKDHS”) has absorbed and merged with Advanced Medical Predictive Devices, Diagnostics and Displays, LLC (“AMP3D”), effective April 1, 2025.
AMP3D, which became a wholly owned subsidiary of Nihon Kohden in 2021, is engaged in the research and development of algorithms and software to proactively predict onset of clinical conditions to help patients and clinicians. This integration will enable Nihon Kohden to further strengthen its technological development capabilities and accelerate the creation of innovative predictive algorithms in the field of digital health solutions (DHS) in North America.
The effect of this transaction on the consolidated financial results for the fiscal year ending March 31, 2025 will be minor.
